AGREEMENT TO OUR LEGAL TERMS

These Terms & Conditions (“Terms”) form a legally binding contract between Raphael Caron LLC, d/b/a Bestsports247 (“Company,” “we,” “us,” or “our”) and you, whether personally or on behalf of an entity. By accessing https://bestsports247.com or any website, mobile site, e-commerce portal, email list, social-media page, application, or offline service that links to or references these Terms (collectively, the “Services”), you confirm that you have read, understood, and agree to be bound by them.

If you do not agree, you must immediately stop using the Services.

1. OUR SERVICES

The Services offer information and the sale of print-on-demand apparel and accessories intended for lawful purchase and use in the United States. Access from other jurisdictions is at your own risk, and you are solely responsible for local-law compliance.

2. INTELLECTUAL-PROPERTY RIGHTS

All source code, databases, text, images, graphics, audio, video, design, software, and functionality (collectively, “Content”), and all trademarks, logos, and service marks (“Marks”), are owned or licensed by us and protected by U.S. and international IP laws. We grant you a limited, revocable, non-transferable, non-exclusive licence to:

  • a) access the Services; and

  • b) download or print portions of the Content for personal, non-commercial use.

Except for this narrow licence, no Content or Marks may be copied, reproduced, republished, uploaded, transmitted, sold, or exploited without our prior written consent.

3. USER REPRESENTATIONS

By using the Services you represent that:

  1. You have legal capacity to agree to these Terms;

  2. You are at least 18 years old (or the age of majority where you live);

  3. You will not access the Services through automated means;

  4. Your use complies with all applicable laws.

Providing false, inaccurate, or incomplete information may lead to suspension or termination of your account.

4. PROHIBITED ACTIVITIES

You agree not to:

  • Harvest data from the Services to create a database without permission;

  • Circumvent security features or probe for vulnerabilities;

  • Upload or transmit viruses, malware, or spam;

  • Impersonate any person or entity;

  • Interfere with any user’s enjoyment of the Services;

  • Reverse-engineer or decompile our software;

  • Use the Services for any unlawful purpose or in competition with us.

5. USER-GENERATED CONTENT & LICENCE

Where the Services allow posting (reviews, photos, comments, etc.):

  • You retain ownership of your content but grant us a perpetual, worldwide, royalty-free licence to use, display, reproduce, and distribute it in any media.

  • You warrant that you own or control the rights to the content and that it is not illegal, defamatory, or infringing.

  • We may, but are not obliged to, monitor or remove content that violates these Terms.

6. MANAGEMENT & ENFORCEMENT

We reserve the right to:

  1. Monitor the Services for compliance;

  2. Refuse, restrict, or remove any content;

  3. Suspend or terminate users who violate these Terms;

  4. Report unlawful conduct to authorities.

7. TERM & TERMINATION

These Terms remain in force while you use the Services. We may suspend or terminate access without notice for any breach. You may discontinue use at any time. Sections intended to survive (e.g., IP, disclaimers, limitation of liability) survive termination.

8. MODIFICATIONS & INTERRUPTIONS

We may change, suspend, or discontinue any part of the Services at any time. We are not liable for downtime, data loss, or price changes. You acknowledge that we have no obligation to maintain or update the Services.

9. GOVERNING LAW

These Terms and any dispute are governed by the laws of the State of New York, USA, without regard to conflict-of-law principles.

10. DISPUTE RESOLUTION

Informal negotiations. Before filing a claim, the parties agree to attempt good-faith resolution for 60 days after written notice.

Binding arbitration. If unresolved, disputes shall be finally resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.

    Class actions are waived: arbitration is individual only. Claims for injunctive or IP relief may proceed in state or federal courts located in New York County, New York.

11. DISCLAIMERS

The Services are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties—express or implied—including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted access, error-free content, or virus-free servers.

12. LIMITATION OF LIABILITY

To the maximum extent permitted by law, our total liability to you for any claim will not exceed the amount you paid us in the 12 months preceding the claim or US $100, whichever is lower. We are not liable for indirect, incidental, consequential, or punitive damages (loss of profit, data, goodwill, etc.).

Some states do not allow limitation of implied warranties or certain damages; in those states our liability is limited to the greatest extent permitted by law.

13. INDEMNIFICATION

You agree to indemnify and hold harmless Raphael Caron LLC and its officers, directors, employees, and agents from any claim, loss, or demand (including attorneys’ fees) arising out of:

  • your use of the Services;

  • your breach of these Terms;

  • your violation of law or the rights of a third party.

14. ELECTRONIC COMMUNICATIONS & SIGNATURES

By using the Services, you consent to receive electronic communications from us and agree that all agreements, notices, and disclosures provided electronically satisfy any legal requirement that such communications be in writing. You consent to electronic signatures and agree they are legally binding.

15. MISCELLANEOUS

These Terms constitute the entire agreement between you and us. If any provision is found unenforceable, the remainder remains in force. Our failure to enforce any right is not a waiver. We may assign our rights without notice; you may not assign yours without our written consent.
